Welcome to On-Line Advertising, LLC ("OLA," "we," "us," or "our"). By accessing or using our website, services, and city guide network, you ("you" or "Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree, please discontinue use of our services.
Services
OLA provides digital marketing services including custom website design, web hosting, domain management, SEO, local city guide advertising, e-commerce solutions, graphic design, enterprise email, managed maintenance, custom business software, and marketing automation. Specific deliverables for each engagement are outlined in the selected package description and any project-specific agreements.
Subscriptions and Billing
- Packages: We offer Starter ($150/mo), Growth ($400/mo), and Authority ($1,000/mo) subscription packages, billed monthly via Stripe.
- Free Setup: Initial setup is included at no additional cost on all plans.
- No Contracts: Subscriptions are month-to-month. You may cancel at any time, and cancellation takes effect at the end of the current billing cycle.
- Refunds: Monthly fees are non-refundable once charged. If you cancel mid-cycle, service continues until the end of the billing period.
- Price Changes: We reserve the right to adjust pricing with at least 30 days' notice. Existing subscribers will be grandfathered at their current rate for the duration of their active subscription unless otherwise communicated.
Client Responsibilities
- Provide accurate and timely information, content, and access needed to deliver services.
- Maintain the confidentiality of any login credentials provided to you.
- Ensure that all content, images, and materials you provide do not infringe on third-party intellectual property rights.
- Respond to requests for approval or feedback within a reasonable timeframe to avoid project delays.
Intellectual Property
Upon full payment of applicable fees, all custom website designs, graphics, and content created specifically for you become your property. OLA retains the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.
OLA retains ownership of all proprietary tools, templates, frameworks, code libraries, and methodologies used in the delivery of services. Third-party software, plugins, and services used in your project are subject to their respective licenses.
Domain and Hosting
Domain registration and hosting are managed as part of your subscription package. Domain names are registered in your name; however, failure to maintain an active subscription may result in suspension of hosting and associated services. We are not liable for domain expiration or loss due to lapsed subscriptions.
City Guide Advertising
Placement on our network of Kentucky city guides is included with applicable packages. Advertising placement, positioning, and duration are determined by the selected package. We reserve the right to refuse or remove listings that contain illegal, offensive, or misleading content.
SEO and Marketing Results
While we employ industry best practices for SEO and digital marketing, we do not guarantee specific search engine rankings, traffic levels, or business outcomes, as these depend on factors outside our control, including search engine algorithms and market competition.
Service Availability
We strive to maintain 99.9% hosting uptime but are not liable for downtime caused by factors beyond our control, including internet outages, server failures at third-party data centers, natural disasters, or scheduled maintenance.
Limitation of Liability
To the maximum extent permitted by law, OLA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or related to your use of our services. Our total liability for any claim shall not exceed the amount you have paid us in the three (3) months preceding the claim.
Indemnification
You agree to indemnify and hold OLA harmless from any claims, damages, losses, or expenses (including legal fees) arising from your content, your use of services, or your violation of these Terms or third-party rights.
Termination
You may cancel your subscription at any time. We may suspend or terminate services immediately if you violate these Terms, fail to pay, or engage in conduct that we determine is harmful to our business or other clients.
Privacy
Our handling of your personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
Changes to Terms
We may revise these Terms at any time. Updated Terms will be posted on this page with a new revision date. Continued use of our services after changes constitutes acceptance of the revised Terms.
Governing Law
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Kentucky.
